Vendor hereby releases, waives, discharges and covenants not to sue Unite Worldwide, Inc., and Unite Worldwide’s locations, its directors, officers, employees, and agents (hereinafter referred to as “Releasees”) from all liability whatsoever to Vendor, its employees, agents, personal representatives, contractors and subcontractors, assigns, heirs, and next of kin for any loss or damage, and any claim or demands therefor on account of injury to person or property or resulting in death, except in the event of gross negligence or willful misconduct on the part of Unite Worldwide, Inc., and Unite Worldwide’s partners, its employees, agents, representatives, or contractors and subcontractors, while Vendor or its employees, clients, invitees, guests, agents, representatives, or contractors and subcontractors are in, upon, or about Unite Worldwide, Inc., and Unite Worldwide’s partners locations, including use of any facilities or equipment therein. Vendor hereby agrees to indemnify, defend, save, and hold harmless the Releasees and each of them from any loss, liability, damage, or cost they may incur arising from the Vendors operations at Unite Worldwide, Inc., and Unite Worldwide’s partners locations premises or any Farmers Market event, including but not limited to use and occupancy of Unite Worldwide, Inc., and Unite Worldwide’s partners, equipment or facilities, unless such harms arise out of Releasees’ gross negligence or willful misconduct. Vendor hereby assumes full responsibility for and risk of bodily injury, death, or property damage that may be incurred arising from Vendor’s operations at Unite Worldwide, Inc., and Unite Worldwide’s partners locations premises, including but not limited to use of Unite Worldwide, Inc., and Unite Worldwide’s partners equipment or facilities, unless such harms arise out of Releasees’ gross negligence or willful misconduct. In case any action is brought against any indemnified party, and it notifies the indemnifying party of the commencement thereof, the indemnifying party will be entitled to participate in the action, and, after notice from the indemnifying party to the indemnified party, to assume the defense of the action and appoint counsel.
