Terms of Service.

The rules for using FestKit, including how payments work when organizers enable Stripe Connect for vendor transactions.

1. Acceptance of These Terms

By accessing or using FestKit, you agree to these Terms of Service and any policies incorporated by reference. If you use FestKit on behalf of an organization, you represent that you have authority to bind that organization.

2. Your Account and Responsibilities

You must provide accurate account information and keep it up to date. You are responsible for activity that occurs under your account, for maintaining the security of your credentials, and for ensuring that your team members use FestKit in compliance with these Terms and applicable law.

3. Permitted Use

FestKit is provided for festival and event planning, vendor management, communications, mapping, and related operational workflows. You may not use FestKit to violate law, infringe intellectual property rights, interfere with the service, or upload content you do not have the right to use or share.

4. Subscription Fees

Paid plans, renewals, overages, and any other service fees are described on our pricing page or in a separate order form. Unless otherwise stated, fees are non-refundable except where required by law.

5. Payment Processing

FestKit is not a payment processor. Stripe, Inc. and its affiliates provide payment processing services when organizers enable vendor payments through Stripe Connect. FestKit facilitates the connection between organizers and Stripe but does not itself process card payments, hold funds, or control payout timing.

When an organizer enables payments, the organizer agrees to the applicable Stripe Connected Account Agreement and Stripe Services Agreement / Terms of Service. Those agreements govern the organizer's use of Stripe's payment services.

FestKit is not a party to the payment transaction between an organizer and its vendors. Transactions are between the organizer, the vendor, and Stripe as payment processor.

FestKit Platform Fee

FestKit charges a 2% platform fee on vendor payments processed through the platform. This fee is in addition to standard Stripe processing fees charged directly to the organizer's Stripe account.

Organizer Responsibilities for Payments

Organizers are responsible for:

  • setting accurate booth and vendor pricing;
  • ensuring the goods, services, or event commitments offered to vendors are fulfilled;
  • handling refunds, chargebacks, and disputes through their Stripe dashboard;
  • complying with laws, regulations, tax requirements, and permit rules related to the sale of booth space or vendor participation.

Payment Liability Disclaimer

FestKit is not responsible for payment disputes, chargebacks, refunds, failed payouts, delayed payouts, or other issues arising between organizers and vendors or between organizers and Stripe. FestKit does not guarantee payout timing or the availability of Stripe services.

6. Third-Party Services

FestKit may integrate with third-party services including Stripe, email delivery providers, hosting providers, mapping providers, and analytics tools. Your use of those services may also be governed by their terms and policies. We are not responsible for third-party services or content outside our control.

7. Intellectual Property

FestKit and its associated software, branding, and content are owned by FestKit or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, revocable right to use the service during your subscription term, subject to these Terms.

You retain ownership of the content and data you upload to FestKit, but you grant us the rights necessary to host, process, and display that content to operate the service.

8. Disclaimers

FestKit is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

9. Limitation of Liability

To the fullest extent permitted by law, FestKit and its affiliates, officers, employees, and contractors will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business interruption arising out of or related to your use of the service.

10. Indemnification

You agree to defend, indemnify, and hold harmless FestKit from claims, damages, liabilities, and expenses arising from your use of the service, your content, your violation of these Terms, or your violation of applicable law.

11. Suspension and Termination

We may suspend or terminate access to FestKit if you violate these Terms, if required by law, or if necessary to protect the security or integrity of the service. You may stop using the service at any time.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated version here and update the "Last updated" date. Continued use of FestKit after changes take effect means you accept the revised Terms.
