If something happens which requires use of insurance, the vendor will take sole responsibility for the incident. Unite Worldwide, Inc., Brickell Run Club, and Unite Worldwide’s affiliates will not be held responsible for any incident. Indemnification. Vendor shall indemnify, defend, and hold and save Unite Worldwide, Inc., and Unite Worldwide’s locations respective officers, directors, agents and employees (together, the “Indemnified Parties”), harmless from any and all claims, suits, demands, debts, undertakings or proceedings of any kind or nature, whether meritorious or frivolous, in any way arising out of the Vendor’s use of the Space, including liability caused in whole or in part by the Indemnified Parties. Vendor shall, at its own expense, appear, defend, and pay all attorneys’ fees and all costs and other expenses arising therefrom or incurred in connection therewith; and, if any judgment shall be rendered against the Indemnified Parties in any such action, Vendor shall, at its own expense, satisfy and discharge same. This acts as the release of liability form. Vendor understands the release of liability form and hereby agrees. Vendor hereby releases, waives, discharges and covenants not to sue Unite Worldwide, Inc., and Unite Worldwide’s locations, its directors, officers, employees, and agents (hereinafter referred to as “Releasees”) from all liability whatsoever to Vendor, its employees, agents, personal representatives, contractors and subcontractors, assigns, heirs, and next of kin for any loss or damage, and any claim or demands therefor on account of injury to person or property or resulting in death, except in the event of gross negligence or willful misconduct on the part of Unite Worldwide, Inc., and Unite Worldwide’s partners, its employees, agents, representatives, or contractors and subcontractors, while Vendor or its employees, clients, invitees, guests, agents, representatives, or contractors and subcontractors are in, upon, or about Unite Worldwide, Inc., and Unite Worldwide’s partners locations, including use of any facilities or equipment therein. Vendor hereby agrees to indemnify, defend, save, and hold harmless the Releasees and each of them from any loss, liability, damage, or cost they may incur arising from the Vendors operations at Unite Worldwide, Inc., and Unite Worldwide’s partners locations premises or any Farmers Market event, including but not limited to use and occupancy of Unite Worldwide, Inc., and Unite Worldwide’s partners, equipment or facilities, unless such harms arise out of Releasees’ gross negligence or willful misconduct. Vendor hereby assumes full responsibility for and risk of bodily injury, death, or property damage that may be incurred arising from Vendor’s operations at Unite Worldwide, Inc., and Unite Worldwide’s partners locations premises, including but not limited to use of Unite Worldwide, Inc., and Unite Worldwide’s partners equipment or facilities, unless such harms arise out of Releasees’ gross negligence or willful misconduct. In case any action is brought against any indemnified party, and it notifies the indemnifying party of the commencement thereof, the indemnifying party will be entitled to participate in the action, and, after notice from the indemnifying party to the indemnified party, to assume the defense of the action and appoint counsel. In the event the indemnifying party elects to assume the defense of any suit or other action, the indemnified party may retain additional counsel but the indemnified party shall bear the fees and expenses of any additional counsel. Vendor further expressly agrees that the foregoing release, waiver, and indemnity language (paragraphs above) is intended to be as broad and inclusive as is permitted by the laws of the State of Florida and that if any portion thereof is held invalid, it is agreed that the balance of such provisions shall, notwithstanding, continue in full legal force and effect.
